1. Acceptance of Terms

By creating an account, accessing, or using our platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

DIP provides an AI-powered Document Intelligence Platform that includes:

• Document analysis and structured data extraction with AI-powered validation.
• Advanced OCR with version control and split-view editing capabilities.
• Multi-document comparison and fraud detection across four comparison modes.
• RAG Chat for semantic search across document knowledge bases.
• KYC and cross-validation workflows with compliance reporting.
• RESTful API for integration with external systems.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload documents containing malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Reverse engineer, decompile, or disassemble any part of our platform.
• Use our services to process documents in a manner that infringes on third-party intellectual property rights.
• Exceed your plan's document processing limits or API rate limits through automated means.

5. Intellectual Property

DIP and its licensors retain all intellectual property rights in the platform, including software, algorithms, AI models, user interface designs, and documentation. Your use of our services does not grant you any ownership rights in our technology. You retain all rights to your documents and data processed through our platform.

6. Data Ownership and Processing

You retain full ownership of all documents and data you upload to our platform. We process your data solely to provide the services you have requested. We do not use your document data to train our AI models unless you explicitly opt in. On-premise deployments ensure your data remains entirely within your infrastructure.

7. Service Level Agreement

For Professional and Enterprise plans, we commit to 99.9% platform uptime, measured monthly. Scheduled maintenance windows are communicated 48 hours in advance. Service credits are available for downtime exceeding SLA commitments, as detailed in your subscription agreement.

8. Payment Terms

Paid plans are billed monthly or annually as selected at subscription. All fees are non-refundable except as required by law or as specified in your subscription agreement. We reserve the right to modify pricing with 30 days' notice. Overdue payments may result in service suspension after a 15-day grace period.

9. Limitation of Liability

To the maximum extent permitted by law, DIP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability shall not exceed the amount you paid for services in the 12 months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. While we strive for high accuracy in document processing, we do not guarantee that AI-generated extractions will be error-free. Human review workflows are recommended for critical decisions.

11. Termination

Either party may terminate the subscription with 30 days' written notice. We may terminate or suspend access immediately if you breach these Terms. Upon termination, we will provide a 30-day data export period, after which your data will be deleted according to our retention policies.

12. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Tampa, Florida, under the rules of the American Arbitration Association.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of our services after changes constitute acceptance of the updated Terms.
